Risk management

As with any business, Solar Foods is exposed to a number of risks. The risks associated with the Group's business and operating environment are described in detail in the prospectus published in connection with the First North listing.

The main risks to the Company's business and operating environment are categorised as follows:

1) Risks related to the Company's business;

2) Risks related to the operating environment;

3) Risks related to the Company's financial and economic position; and

4) Risks related to the Company's shares.

Solar Foods' risk management is governed by the risk management policy approved by the Board of Directors. The purpose of the policy is to define Solad Foods Oyj's risk management framework, processes, governance model and responsibilities.

The objective of Solar Foods' risk management is to support the implementation of the Company's strategy, the achievement of its sustainability objectives and the continuity of the business and shareholder value in relation to all identifiable risks. Risk identification is based on the Company's strategic objectives and action plans.

The risk analysis is a self-assessment. The assessment of the impact of a risk takes into account its likelihood and impact on the Company and its operations. Separate risk analyses may be carried out for major projects in accordance with the Company’s policy.

Managing risks

The Board of Directors decides on the Company’s risk management principles and evaluates the Company’s strategic risks on annual basis as part of the strategy process, Risks related to the company's business, industry, market, economic, regulation and compliance are continuously assessed by the Board of Directors. The Board of Directors discusses the most significant risks and the measures taken to manage them and monitors the effectiveness of risk management. The Board is also responsible for approving the risk management policy.

The CEO has the overall responsibility for the risk management, while other members of the Management Team are each responsible for managing the risks on their own responsibility areas.

The Company's CFO organises the Company's risk management and reports regularly to the Board on risks and risk management activities.
